Item 8.01

Other Events.

As previously disclosed, Xperi Corporation (“Xperi”) entered into the Agreement and Plan of Merger and Reorganization, dated as of December 18, 2019, as amended on January 31, 2020 (the “Merger Agreement”), by and among Xperi, TiVo Corporation (“TiVo”), XRAY-TWOLF HoldCo Corporation (“Holdco”), XRAY Merger Sub Corporation and TWOLF Merger Sub Corporation.

On April 29, 2020, the Korean Fair Trade Commission (the “KFTC”) notified Xperi that the transactions contemplated by the Merger Agreement, as reported to the KFTC, did not violate Article 7, Paragraph (1) of the Korean Monopoly Regulation and Fair Trade Law, subject to customary obligations to report certain changes to the KFTC. The obligations of Xperi and TiVo to complete the mergers contemplated by the Merger Agreement are subject to the satisfaction or waiver of several conditions set forth in the Merger Agreement.
